Codequiry Integrity, LLC. — Wyoming LLC
THIS IS A LEGALLY BINDING CONTRACT. By completing payment for any Codequiry plan, you ("Subscriber") enter into this Agreement with Codequiry Integrity, LLC. ("Codequiry", "Provider", "We"). Both parties agree to the following terms and conditions which create mutual legal obligations enforceable under the laws of Wyoming, United States.
Instant Account Activation: Upon payment, your account is activated instantly with immediate platform access. In rare cases requiring manual setup, activation may take up to 72 hours.
Section 1: Your Protections & Guarantees
Codequiry commits to protecting your interests. These are legally binding promises:
- Service Availability Guarantee: Platform uptime target of 99.5%. Scheduled maintenance communicated 48 hours in advance when possible.
- Results Delivery Commitment: All plagiarism check results delivered within 72 hours of submission. Priority queue for paid subscribers.
- Bug Fix Commitment: Minor bugs: Fixed within 7 days. Critical bugs: Addressed within 48 hours with status updates. Major features: Reasonable timeline with communication.
- Feature Request Power: Submit feature requests through the platform. Reasonable requests that benefit the platform will be reviewed and, where feasible, deployed within 1-2 weeks. You have a voice in platform development.
- Data Privacy Protection: Your code is NOT stored in our matching database unless you explicitly opt-in. Full control over your data. FERPA, GDPR, and SOC 2 compliant infrastructure.

- Department Plan: 10% forfeiture
- Refunds are NOT available due to dissatisfaction, change of mind, or unhappiness with the service.

Section 4: Provider Rights
Codequiry reserves the right to terminate or suspend any account for:
- Unreasonable or excessive demands beyond plan scope
- Resource abuse or activities that degrade service for others
- Violation of terms, fraudulent activity, or abusive behavior
- Any reason at Provider's reasonable discretion with notice
Section 5: Dispute Resolution & Governing Law
- No Litigation: Subscriber agrees not to initiate any court proceedings or lawsuits against Codequiry.
- No Class Actions: Subscriber waives the right to participate in any class action or collective proceeding.
- Sole Remedy: Subscriber's exclusive remedy is to cancel the subscription through the platform.
- Full Release: Subscriber releases Codequiry from all claims, damages, and liabilities.
- Governed by the laws of Wyoming, United States.
- Exclusive jurisdiction: Laramie County, Wyoming.
Section 6: Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODEQUIRY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY SUBSCRIBER IN THE PRECEDING 12 MONTHS, MINUS ANY APPLICABLE CANCELLATION FORFEITURE. CODEQUIRY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

1 Agreement Overview
This Service Level Agreement ("SLA") establishes the terms and conditions governing the provision of code similarity detection and academic integrity services between Codequiry Integrity, LLC. ("Provider," "Codequiry") and your educational institution ("Subscriber," "Institution").
2 Performance Commitments
The Provider commits to maintaining the following service level objectives for all institutional subscribers:
- Expedited Analysis Delivery: Similarity analysis results are delivered within 20 minutes of submission, with typical processing completed in under 5 minutes.
- Platform Availability: 99.5% uptime guarantee with a minimum of 48 hours advance notification for scheduled maintenance windows.
- Immediate Processing: Peer-to-peer comparisons initiate upon submission with real-time progress visibility for institutional administrators.
- Prompt Account Provisioning: Full platform access is provisioned immediately upon payment confirmation.
- Continuous System Monitoring: Automated infrastructure monitoring with established incident response protocols.

- Automatic Renewal: Subscriptions renew automatically unless cancelled prior to the renewal date.
8 Governing Law and Legal Terms
This Agreement is governed by the laws of the State of Wyoming, United States. Any disputes arising from this Agreement shall be resolved through binding arbitration in Laramie County, Wyoming. The subscribing institution waives the right to participate in class action proceedings. The Provider's total liability shall not exceed fees paid by the Subscriber in the preceding twelve (12) months. The Provider shall not be liable for indirect, incidental, special, or consequential damages.
Upon completion of payment, the subscribing institution acknowledges acceptance of this Service Level Agreement and agrees to be bound by all terms contained herein. This document constitutes a legally binding contract between the parties.
